GTCO launches N392.49B share subscription to boost capital

Guaranty Trust Holding Company PLC (GTCO) has announced an offer for subscription, aiming to raise N392.49 billion through the issuance of 9 billion new shares at N44.50 each.

The offer is split evenly, with 50% allocated to institutional investors and 50% to retail investors. The subscription period runs from July 15 to August 12, 2024.

GTCO’s new share issuance aims to enhance the company’s capital base. The offer price is set at N44.50 per share, slightly below recent market highs, presenting a discounted entry point for investors.

Since the announcement, GTCO’s share price saw a modest gain of 0.2%, reflecting market confidence. Despite this, the price remains below its 52-week high of N53.05. The share price showed a significant year-to-date (YtD) gain of 12.59% in 2024, outperforming the banking sector’s average YtD decline of 1.89%. This upward trend has elevated GTCO’s market capitalization to N1.342 trillion, making it the most capitalized bank in Nigeria.

GTCO plans to use the proceeds for several strategic initiatives:
– **Branch Network Expansion:** 4% (N138.5 billion) for new branches and infrastructure improvements.
– **Technology Infrastructure:** 6% (N98.5 billion) for upgrading technology.
– **Lending:** 9% (N133 billion) for lending to key business segments, including SMEs.

GTCO’s offer is aimed at recapitalizing the bank and supporting its growth and expansion plans, particularly in Pension Fund Administration and Asset Management. This is expected to enhance the bank’s financial stability and future growth potential. The company’s capital adequacy ratio (CAR) declined to 21.94% in 2023, below the target of 23%, but aims to reach 24.50% in 2024.

The bank’s prudent credit risk management approach is crucial as it expands its loan portfolio. Impairment allowances and loan impairment charges increased significantly in 2023 due to economic challenges, emphasizing the need for careful risk management.

– Discounted Offer Price: The offer price is below the recent high, providing a discounted entry point.
– Valuation: GTCO’s stock is trading at a P/E ratio of 1.35x, lower than the sector average of 2.91x, indicating potential undervaluation.
– Growth Projections: Analysts project an EPS of N25.01 in 2024, about 32% higher than 2023, suggesting strong future returns.

In summary, GTCO’s share subscription offers an opportunity for investors to participate in the bank’s strategic growth plans at a potentially attractive valuation. The proceeds are aimed at strengthening the bank’s capital base and supporting key growth initiatives, enhancing its financial health and future growth prospects.
